Terms of Service

These Terms govern use of TMatch by Clients, prospective Clients, website visitors, and other users. Providers are also subject to the TMatch Provider Platform Participation Agreement.

These Terms of Service ("Terms") are a legally binding agreement between you and Tmind AI Inc., doing business as TMatch ("TMatch," "we," "us," or "our"). By accessing or using TMatch, creating an account, or selecting an electronic acceptance button, you agree to these Terms.

If you use TMatch as a Provider, your participation is also governed by the TMatch Provider Platform Participation Agreement, including any applicable Business Associate Agreement. If these Terms conflict with that Provider Agreement regarding Provider participation, the Provider Agreement controls.

Our Privacy Policy, HIPAA Practices, Informed Consent for AI Intake and Matching Services, Practice Policies, and any transaction, booking, billing, or Provider-specific disclosures presented to you are incorporated where expressly stated or applicable to the service you use.

2. Nature of the Service

TMatch is a technology platform that may help individuals discover, match with, communicate with, and book mental health Providers. TMatch may support provider profiles, AI-assisted intake and matching, care navigation, scheduling, reminders, administrative communications, self-pay payment support, telehealth access or integrations, and related features.

TMatch is not a healthcare provider, mental health practice, clinical supervisor, insurer, payer, utilization review organization, emergency service, or crisis service. TMatch does not provide medical advice, diagnosis, therapy, treatment, crisis intervention, clinical supervision, or insurance coverage.

Any therapeutic or professional relationship is solely between you and the Provider you select or work with. Providers are not employees, agents, clinical supervisors, or representatives of TMatch, and TMatch does not direct their clinical judgment.

3. Eligibility and Accounts

You must be at least 18 years old to create a TMatch account unless TMatch expressly supports a parent, guardian, or minor-specific workflow. If you use TMatch for a minor, you represent that you have the authority required by applicable law.

You agree to provide accurate, current, and complete information; protect your login credentials; and notify TMatch promptly of suspected unauthorized access. You are responsible for activity through your account unless caused by TMatch's failure to use reasonable safeguards.

4. Provider Profiles, Review, and Matching

Providers listed on TMatch may include independently licensed Providers and, where permitted, supervised Providers, students, trainees, or other professionals practicing under required supervision, practice setting, or organizational authorization.

A directory listing means that a Provider submitted profile information and TMatch permitted the profile to appear. It does not by itself mean that TMatch verified all information, endorsed the Provider, performed payer credentialing or a background check, or guaranteed competency, quality of care, availability, insurance participation, legal eligibility, or suitability.

TMatch may conduct a limited platform eligibility review of specified information. A "TMind Verified" badge means only that TMatch reviewed identified information as of the displayed date or most recent review. It is not comprehensive credentialing, accreditation, clinical supervision, or a guarantee.

You remain responsible for deciding whether to contact, book, or receive services from a Provider. You should independently confirm license status, supervision, rates, insurance participation, availability, and fit when those factors matter to you.

5. Tracy and AI-Assisted Features

Tracy is TMatch's AI-assisted intake, matching, navigation, booking, and follow-up functionality. Tracy may collect your stated needs and preferences, organize information you provide, create non-diagnostic summaries, suggest potentially compatible Providers, explain potential fit, and support administrative next steps.

Tracy is an automated system and is not a person, therapist, physician, nurse, licensed case manager, clinical supervisor, crisis service, or emergency service. Tracy does not provide diagnosis, treatment, medical advice, legal advice, clinical judgment, crisis intervention, or a guarantee that a match is appropriate or successful.

AI-generated content may be incomplete, inaccurate, or based on limited information. You and your Provider are responsible for reviewing and verifying information relevant to care or other decisions.

6. Emergency and Crisis Disclaimer

TMatch and Tracy are not designed for emergencies or crisis support. If you are in immediate danger, may harm yourself or others, or are experiencing a mental health emergency, contact local emergency services. In the United States and Canada, call 911 for an immediate emergency or call or text 988 for crisis support where available. Do not rely on TMatch or Tracy for emergency response.

7. Booking, Provider Policies, and Telehealth

Providers set or approve their own services, rates, availability, session duration, practice policies, and accepted payment arrangements. A booking request does not guarantee that a Provider will accept you, that a session will occur, or that services are clinically appropriate.

Provider-specific disclosures or policies may be presented before booking or before services begin. The Provider is responsible for treatment consent, telehealth consent, privacy notices, supervised-provider disclosures, clinical records, emergency planning, and other documents required for the Provider's services.

Telehealth may involve risks such as technical failure, disconnection, unauthorized access, limited ability to respond to emergencies, or reduced access to nonverbal information. TMatch may facilitate access to telehealth technology but does not itself provide the professional service.

8. Payment, Insurance, and EAP

For self-pay sessions booked through TMatch, payment may be processed through TMatch's designated payment processor. The checkout flow will disclose the amount and timing of any authorization or charge before you confirm the booking. Payment processing may be subject to separate processor terms.

Unless TMatch expressly agrees otherwise in a separate written arrangement, TMatch does not verify insurance or EAP eligibility or benefits, determine coverage, calculate cost sharing, obtain authorization, submit claims, perform payer credentialing, appeal denials, collect payer reimbursement, or guarantee payment.

Your Provider or the applicable billing entity is responsible for insurance and EAP billing, including network participation, copays, deductibles, coinsurance, denials, refunds, overpayments, claims, appeals, and required financial notices.

Rates shown for self-pay sessions are gross session prices. The amount a Provider receives may be lower after applicable payment-processing, payout, cross-border, currency-conversion, refund, dispute, chargeback, tax, or other authorized deductions.

9. Cancellation, No-Shows, Refunds, and Disputes

Unless a different policy is clearly displayed and accepted at booking, a self-pay session processed through TMatch may be cancelled or rescheduled at least 24 hours before the scheduled start time for a refund of the applicable session charge, less non-refundable third-party processing, cross-border, currency-conversion, or refund-related charges actually incurred, where permitted by law.

A cancellation made less than 24 hours before the scheduled start time or a no-show may be non-refundable. The applicable booking flow and Practice Policies provide additional information.

Refund amount and timing may vary based on the payment method, currency, country, processor, bank, exchange rate, dispute, chargeback, or legal requirement. Charges or exchange-rate differences imposed separately by your financial institution are outside TMatch's control.

TMatch may review transaction or platform issues, but TMatch does not decide disputes about diagnosis, treatment, clinical quality, or professional judgment. Those concerns should be addressed with the Provider and, where appropriate, the relevant practice, supervisor, licensing authority, or payer.

10. Appropriate Use

You may not use TMatch to:

  • Harass, threaten, exploit, discriminate against, deceive, or impersonate another person.

  • Submit false, unlawful, misleading, or unauthorized information.

  • Access another person's account or information without permission.

  • Interfere with platform operation, security, matching, booking, payment, or Provider profiles.

  • Scrape, copy, reverse engineer, resell, or use platform data or content except as expressly permitted.

  • Use Client or Provider information for unauthorized marketing, sale, disclosure, surveillance, or AI model training.

  • Use the Platform in a way that creates unreasonable safety, privacy, legal, financial, or reputational risk.

11. User Content and Communications

You retain ownership of original content you submit. You grant TMatch a nonexclusive, worldwide, royalty-free license to host, process, reproduce, format, transmit, and display that content only as reasonably necessary to operate, secure, support, and improve the services, comply with law, and fulfill your requests, subject to the Privacy Policy and applicable agreements.

You represent that you have the right to submit the content and that it does not violate law or another person's rights.

12. Third-Party Services

TMatch may integrate with payment processors, authentication providers, calendar systems, video services, communication services, cloud providers, AI service providers, and other third parties. Their products may be governed by separate terms and privacy practices. TMatch is not responsible for third-party services outside TMatch's reasonable control.

13. Privacy

Our collection, use, disclosure, and protection of information is described in the Privacy Policy and, where applicable, the HIPAA Practices and Business Associate Agreements.

14. Intellectual Property

TMatch and its licensors own the Platform, software, design, branding, trademarks, algorithms, AI systems, databases, workflows, documentation, and related intellectual property. Subject to these Terms, TMatch grants you a limited, revocable, nonexclusive, nontransferable right to use the Platform for personal or authorized professional purposes.

15. Suspension and Termination

You may stop using TMatch and request account deactivation, subject to outstanding bookings, payments, record-retention requirements, Provider obligations, and applicable subscription cancellation terms.

TMatch may suspend, limit, or terminate access when we reasonably believe these Terms or applicable policies have been violated; information is false or unsafe; a security, credential, payment, legal, or compliance issue exists; or continued access may harm users, Providers, TMatch, or third parties.

16. Service Changes

TMatch may update, test, limit, suspend, or discontinue features. We may update these Terms to reflect changes in the service, law, technology, security, or business operations. We will provide notice and obtain consent when required by applicable law. Continued use after an update becomes effective constitutes acceptance to the extent permitted by law.

17. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. TMATCH DOES NOT GUARANTEE PROVIDER AVAILABILITY, MATCH QUALITY, CLINICAL APPROPRIATENESS, OUTCOMES, CLIENT OR PROVIDER CONDUCT, INSURANCE COVERAGE, REIMBURSEMENT, PAYMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

Nothing in these Terms limits warranties, consumer rights, or remedies that cannot lawfully be excluded.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TMATCH AND TMIND AI INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST DATA, LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE PLATFORM, AI-GENERATED CONTENT, PROVIDER INFORMATION, MATCHING, BOOKING, PAYMENT PROCESSING, OR PROFESSIONAL SERVICES PROVIDED BY A PROVIDER.

This section does not limit liability that cannot be limited under applicable law.

19. Governing Law and Venue

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Unless mandatory law requires otherwise, disputes arising from these Terms will be brought in the state or federal courts located in King County, Washington.

20. Electronic Communications

You consent to receive agreements, disclosures, booking information, billing communications, safety notices, and other records electronically. Electronic acceptance has the same effect as a handwritten signature to the extent permitted by law.
